1. Acceptance of Terms

By accessing, browsing, or purchasing from the HUB Tech eCommerce website (“Website”), you (“Customer,” “You,” or “User”) agree to be bound by these Terms & Conditions, our Privacy Policy, and any additional terms applicable to specific products or services. If you do not agree, please do not use this Website.


2. Eligibility

This Website is intended for:

  • Commercial organizations, SMB, mid-market, enterprise, and public-sector customers
  • Consumers/end users located in the United States

You represent that you are at least 18 years old and legally authorized to enter into this agreement.


3. Product Information & Availability

HUB Tech makes every effort to ensure accuracy of product descriptions, specifications, pricing, and availability. However:

  • Product descriptions may change without notice.
  • Pricing errors may occur and HUB Tech reserves the right to correct them.
  • Availability is not guaranteed; HUB Tech may limit or cancel quantities at its sole discretion.
  • Images are for illustrative purposes only and may differ from actual products.

For OEM hardware (HP, Poly, etc.), all specifications are provided by the manufacturer.



4. Order Acceptance & Processing

An order acknowledgment does not constitute acceptance. HUB Tech reserves the right to:

  • Accept or reject any order
  • Limit quantities
  • Require additional verification before processing
  • Cancel orders where pricing, availability, or other errors occur
  • Refuse service to any customer

An order is considered accepted only when shipped.


5. Pricing, Taxes & Fees

  • All prices are in U.S. Dollars (USD).
  • Taxes are calculated based on shipping destination and applicable state/local law.
  • Prices do not include shipping, handling, installation, or configuration unless stated.
  • HUB Tech may change pricing at any time without notice.

If a pricing error is discovered, HUB Tech will contact you before processing.


6. Payment Terms

Accepted payment methods include:

  • Major credit cards
  • Purchase orders (established commercial accounts only)
  • Financing partners (if applicable)

By submitting payment, you authorize HUB Tech (or payment processor) to charge the full amount. HUB Tech may suspend or cancel orders for failed payments or suspected fraud.




7. Shipping & Delivery

  • Shipping times are estimates only and not guaranteed.
  • Risk of loss transfers to the customer upon delivery to carrier (FOB Origin).
  • HUB Tech is not responsible for delays caused by carriers, supply-chain issues, strikes, OEM delays, or events outside our control.
  • Title passes to the customer upon shipment.

For large commercial deliveries, HUB Tech may require loading dock access or special delivery arrangements.


8. Returns, Refunds & Exchanges

Returns are subject to HUB Tech’s Return Policy, including:

  • Manufacturer DOA policies (typically within 10–30 days)
  • Restocking fees (commonly 20-25%)
  • Items must be unopened and in original packaging unless defective
  • Custom-built, special-order, and configured products are non-cancellable and non-returnable (NCNR)
  • Software, licensing, and digital goods are non-returnable

All returns require an RMA number issued by HUB Tech. Unauthorized returns may be refused.


9. Warranties

9.1 Manufacturer Warranties

Most PC hardware is covered directly by the manufacturer.
HUB Tech:

  • Passes through all OEM warranties
  • Is not responsible for warranty service or decisions made by the OEM
  • Does not modify or extend manufacturer warranties

Customer must work directly with the manufacturer unless HUB Tech services were purchased.

9.2 Disclaimer of Additional Warranties

Except as expressly provided:

  • HUB TECH PROVIDES THE WEBSITE “AS IS” WITHOUT WARRANTIES OF ANY KIND.
  • HUB TECH DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


10. Limitation of Liability

To the fullest extent permitted by law:

  • HUB Tech is not liable for indirect, incidental, special, consequential, punitive, or lost profit damages.
  • HUB Tech’s total liability for any claim will not exceed the amount paid for the product or service involved.

Some jurisdictions do not allow certain exclusions, so limitations may vary.


11. Software, Licensing & Compliance

Purchases of software, firmware, or OEM licenses are governed by the manufacturer’s End User License Agreement (EULA). Customer agrees to:

  • Comply with all licensing restrictions
  • Ensure all installations meet OEM terms
  • Not resell, redistribute, or reverse-engineer licensed materials

Violations may result in termination of access or legal action.


12. Professional Services

If the customer purchases IT services (installation, configuration, cabling, MSP services, etc.) the following apply:

  • Services are billed at agreed hourly or project rates
  • Travel, after-hours, and holiday rates may apply
  • HUB Tech is not responsible for delays caused by customer environments, third-party vendors, or unsafe conditions
  • Customer must provide safe, reasonable access to systems at customer’s site

A separate Statement of Work (SOW) may govern service terms.


13. Account Creation & Security

Users are responsible for:

  • Maintaining account confidentiality
  • Updating profile and billing information
  • Restricting access to login credentials
  • All activity conducted under their account

HUB Tech may suspend or terminate accounts for misuse, fraud, or violations.


14. Intellectual Property

All content on the Website - including logos, text, images, graphics, product descriptions, videos, and code - is owned by HUB Tech or its partners and may not be:

  • Used
  • Copied
  • Distributed
  • Modified
  • Sold

without prior written permission.






15. Prohibited Uses

Users may NOT:

  • Attempt to breach website security
  • Use the Website for fraudulent transactions
  • Upload malware, scripts, or harmful content
  • Resell products purchased from the Website unless authorized
  • Misrepresent identity or purchasing authority (especially public-sector buyers)

Violations may result in legal action or account termination.


16. Data Privacy

Use of the Website is governed by the HUB Tech Privacy Policy, which describes:

  • What data we collect
  • How it is used
  • How it is protected
  • Your rights

HUB Tech complies with applicable U.S. privacy laws and does not sell personal information.


17. Compliance With Public Sector Procurement Rules

If Customer is a government, municipal, education, or nonprofit entity:

  • Customer is responsible for ensuring its own compliance with procurement laws
  • HUB Tech does not certify eligibility for bidding, sole-source justification, or contract requirements
  • Purchases may require quotes, PO validation, or pre-approved purchasing contracts



18. Indemnification

Customer agrees to indemnify, defend, and hold harmless HUB Tech from any claims arising out of:

  • Website misuse
  • Violations of these Terms
  • Improper installation or use of products
  • Breach of contract
  • Infringement of third-party rights


19. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflicts of law.

Disputes will be resolved by:

  1. Good-faith business discussions, then
  2. Binding arbitration in Suffolk County, MA, unless prohibited by law

Customer waives class-action rights except where not permitted.


20. Changes to Terms & Policies

HUB Tech may update these Terms at any time. Continued use of the Website constitutes acceptance of updated terms.

1. Eligibility

You must be 18+ to use the Website. Both commercial organizations and individual end users may purchase products unless otherwise restricted.

2. Product Information

HUB Tech strives for accuracy but does not guarantee product descriptions, pricing, or availability. Errors may be corrected without notice.

3. Order Acceptance

Order confirmations acknowledge receipt only. Orders are accepted when shipped. HUB Tech may cancel or limit orders at its discretion.

4. Pricing & Taxes

All prices are in USD and may change without notice. Taxes and shipping fees apply as required by law.

5. Payment Terms

Accepted payment methods include major credit cards, purchase orders (approved accounts), and financing partners. Payments must be valid and authorized.

6. Shipping & Delivery

Shipping times are estimates, not guarantees. Title and risk of loss transfer to Customer upon carrier pickup (FOB Origin).

7. Returns & Refunds

All returns require an RMA. Restocking fees may apply. Special-order, configured, licensing, and digital products are NCNR (Non-Cancellable, Non-Returnable). See full Returns Policy below.

8. Warranties

OEM warranties apply to hardware. HUB Tech provides no additional warranties unless explicitly stated.

9. Liability Limitation

HUB Tech is not liable for indirect or consequential damages. Total liability will not exceed the purchase price of the product or service.

10. Software Licensing

All software is governed by the manufacturer’s EULA.

11. Professional Services

Professional IT services are governed by applicable Statements of Work (SOWs).

12. Prohibited Uses

You may not misuse the Website, attempt unauthorized access, or use fraudulent information.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts.

Risk of Loss

Risk transfers to Customer upon carrier pickup.

Shipping Restrictions

  • No international shipping

  • Large hardware orders may require loading dock access


5. RETURNS & REFUNDS POLICY

Returns Eligibility

Returns require:

  • An RMA number issued by HUB Tech
  • Original packaging and all included items
  • Submission within the manufacturer’s DOA or return period

Non-Returnable Products

  • Opened or registered software
  • Digital licenses
  • Special-order or custom-configured systems
  • NCNR-designated products
  • Activated warranty or service items

Restocking Fees

Standard restocking fee: 20–25% depending on manufacturer and condition.

Refund Method

Refunds are issued to the original payment method after inspection.




6. WARRANTY POLICY (OEM PASS-THROUGH)

Manufacturer Warranties

All warranties for hardware, software, and accessories are provided by the respective manufacturer.

HUB Tech:

  • Does not modify OEM warranties
  • Is not responsible for denial of OEM warranty service
  • Assists in directing customers to the appropriate support channel

Extended Warranties

If purchased, extended warranties are governed by the issuing provider’s terms.

Warranty Exclusions

Damage caused by misuse, improper installation, environmental conditions, third-party repairs, or accidents is not covered.


7. COMMERCIAL CUSTOMER TERMS (NCNR POLICY)

For B2B orders:

Non-Cancellable, Non-Returnable Products (NCNR)

The following are NCNR:

  • Special-order items
  • Custom-configured servers, PCs, or network equipment
  • Bulk/volume purchases
  • Software licenses
  • Subscription-based services
  • Replacement parts

Purchase Orders

Issuance of a Purchase Order constitutes binding acceptance of pricing, quantities, and NCNR status.

Credit Terms

Net terms, if granted, require timely payment. Late fees may apply.


8. SOFTWARE LICENSING NOTICE

All software, firmware, and digital products are governed by their respective End User License Agreement (EULA).

Customer agrees:

  • Not to exceed licensed quantities
  • Not to reverse engineer, copy, or redistribute software
  • To comply with manufacturer audit requests
  • That licenses are non-returnable once activated

PUBLIC SECTOR PROCUREMENT ADDENDUM

Applicable to Massachusetts State Agencies, Municipalities, Counties, School Districts, and Other Public Entities

1. Purpose of This Addendum

This Public Sector Procurement Addendum (“Addendum”) applies to purchases made through the HUB Tech eCommerce Website by any Massachusetts public-sector entity, including but not limited to cities, towns, school districts, counties, and state agencies (“Public Customer”).

This Addendum supplements - but does not replace - the HUB Tech Terms & Conditions, except where explicitly stated.


2. Public Customer Responsibility for Compliance

Public Customers purchasing from the Website acknowledge and agree:

  • They are solely responsible for ensuring each purchase complies with Massachusetts General Laws (M.G.L.), including Ch. 30B, Ch. 149, Ch. 30 §39M, and any local procurement rules.
  • HUB Tech is not responsible for determining eligibility of a purchase under Public Customer procurement laws.
  • Public Customer must ensure all procurement thresholds, quotation requirements, and competitive bidding obligations are met prior to submitting an order.
  • Public Customer assumes responsibility for verifying whether a contract vehicle- such as Statewide Contracts, cooperative purchasing contracts, municipal agreements, or grant terms - is required for the purchase.



3. Purchase Orders & Binding Effect

For public-sector orders:

  • A formal Purchase Order (PO) may be required before HUB Tech can process or ship an order.
  • Issuing a PO constitutes affirmation that procurement rules have been followed and funds have been encumbered.
  • Any terms submitted by Public Customer that conflict with HUB Tech Terms must be mutually agreed upon in writing.


4. Tax-Exempt Purchasing

Public Customers generally qualify for tax-exempt purchasing. To receive tax exemption:

  • Customer must provide a valid Massachusetts Form ST-2 or equivalent documentation.
  • Taxes collected due to missing or invalid documentation cannot be refunded until proper documentation is provided.


5. Bid, Quote, and Contract Requirements

Where required by law or internal policy:

  • Public Customer must request a formal quote or reference to a Statewide Contract Number before purchasing.
  • HUB Tech can provide written quotes upon request but is not obligated to determine the correct contract path for the Public Customer.
  • Public Customers may not use the eCommerce checkout as a substitute for competitive solicitation unless their policies permit “micro-purchase” or “small procurement” thresholds.


6. Ethics, Gifts, and Conduct Compliance

HUB Tech complies with M.G.L. c. 268A and related ethics rules.

Public Customers agree:

  • HUB Tech will not offer gifts, gratuities, or incentives prohibited by Massachusetts ethics laws.
  • Public Customer employees must not solicit or accept prohibited items or benefits.
  • Any promotional gifts or contest programs must be evaluated by Public Customer according to its internal ethics policies.


7. Delivery, Title, and Acceptance

Delivery terms follow HUB Tech’s main Shipping Policy, with the following additions:

  • Public Customers must provide receiving documentation promptly upon delivery if their procurement laws require acceptance or inspection processes.
  • HUB Tech will cooperate with reasonable documentation requirements but is not subject to penalties for delays outside its control (e.g., vendor backorders, OEM delays).


8. Payment Terms for Public Customers

Unless otherwise agreed:

  • Standard terms are Net 30 Days from invoice date.
  • Late payment fees may apply unless prohibited by law.
  • Public Customers remain responsible for timely payment even if internal approval workflows require extended timeframes.


9. Additional Restrictions for Public Sector Customers

Certain products - including cybersecurity tools, networking infrastructure, and cloud services - may require:

  • Additional verification
  • Authorized reseller documentation
  • Manufacturer-specific terms for public-sector deployment

Public Customer agrees to review and comply with such requirements.


10. Conflict Between Terms

If a conflict arises between the main HUB Tech Terms & Conditions and this Public Sector Procurement Addendum:

  • This Addendum governs for public-sector purchases, unless otherwise required by law.



ECOMMERCE DISCLAIMER FOR MASSACHUSETTS MUNICIPAL CUSTOMERS

MASSACHUSETTS MUNICIPAL PURCHASING DISCLAIMER

HUB Tech welcomes Massachusetts municipal, county, school district, and other public-sector customers. To ensure compliance with procurement laws, municipal customers agree to the following before placing an eCommerce order:

1. Procurement Responsibility

By placing an order on the HUB Tech Website, the municipal customer certifies that:

  • All M.G.L. c. 30B or other applicable procurement requirements have been met.
  • The purchase is within the municipality’s authorized procurement thresholds.
  • Competitive quotes/bids have been obtained if required.
  • Any needed Town/School Committee approvals, encumbrances, or purchase authorizations have been completed.

HUB Tech does not determine procurement eligibility for municipal purchases.


2. Purchase Orders May Be Required

Municipal customers acknowledge:

  • A Purchase Order may be required before HUB Tech ships products.
  • Submission of an order without a PO does not obligate HUB Tech to fulfill the order.


3. Tax Exemption

To receive tax exemption:

  • Municipal customer must provide a valid ST-2 certificate or equivalent exemption documentation.
  • Taxes charged due to missing documentation cannot be refunded until verification is received.


4. Use of Contract Vehicles

If the municipality must purchase through:

  • Massachusetts Statewide Contracts
  • Cooperative purchasing contracts (e.g., PEPPM, Sourcewell)
  • Local vendor lists
  • Grant-specific purchasing requirements

It is the municipality’s responsibility to ensure compliance before placing the order.


5. Ethics Compliance

Municipal buyers agree that:

  • No prohibited gifts or incentives will be offered, accepted, or requested.
  • Municipal employees are responsible for following all state and local ethics laws.


6. Order Acceptance

An order placed on the Website is not considered accepted until:

  • Reviewed for accuracy and compliance
  • Confirmed by HUB Tech
  • Shipped to the designated address

HUB Tech reserves the right to cancel orders that appear to violate municipal procurement rules.


7. No Liability for Procurement Errors

HUB Tech is not liable for:

  • Municipal procurement violations
  • Orders placed by unauthorized personnel
  • Internal approval failures
  • Improper procurement procedures

Responsibility for lawful procurement rests solely with the municipal customer.
